Yes this "contract" which you can not name, provide us evidence of, link to, or accurately reference is so cut and dry we get this:

the courts will find little or no precedent for a team owner facing expulsion because of offensive comments about race.

Out of the probably 1000 posts you have made in this topic, you have yet to cite to the bylaw that the NBA will use to force this sale. Please point out that bylaw. This should be very simple since you are so adamant on the topic. Point to the bylaw)s) and then we can discuss it accordingly.

I don't listen to anything antitrust lawyers with years of experience say about this. My attention turns directly to the RX and what anonymous posters with no experience say, is what I go by.

My guess is they are hoping he will realize he can make a nice profit by selling, and that he will.”

It's going to be very easy. This isn't the government against a business. If they get 3/4ths vote from the other owners, it will be done. The owners have more than enough evidence to prove this guy is a liability to their business.

To start, if Sterling is forced to sell the Clippers, the NBA and the other team owners are not “taking” anything away from him that he has a right to keep. He is an owner subject to an agreement that, according to NBA Commissioner Adam Silver, allows the league to force Sterling to sell upon a three-fourths vote of other league owners. As such, the league has, and has always had, the power to decide if Sterling would be allowed to own a team. (Why the league owners didn’t act twenty years ago is a legitimate question, but one for another day.)


That Sterling can be forced to sell should not be news to lawyers, at any rate. This case reminds me of Lawlis v. Kightlinger & Gray, 562 N.E.2d 435 (Ind. App. 4th Dist. 1990). The case is taught in many Business Organizations courses. In that case, Lawlis was a partner the Kightlinger & Gray law firm. At some point, his alcoholism became a problem, and eventually he told the partners of his issues. Lawlis and his partners reached an agreement about how to move forward (one with a “no-second chances” provision). Lawlis got things together for a bit, then returned to drinking, and he was given a second chance. Lawlis apparently got sober and eventually insisted the firm should increase his partnership participation. Instead, the firm decided to expel him by a 7-to-1 vote (Lawlis was the sole vote against expulsion). Lawlis sued.

The court was not convinced, and I would hope any court would look the same way at a vote to remove Sterling as an NBA owner. Even if they needed cause, I would opine that the league has it, but the likely don't need it. The Lawlis court explained:
All the parties involved in this litigation were legally competent and consenting adults well educated in the law who initially dealt at arm’s length while negotiating the . . . agreements here involved. At the time the partners negotiated their contract, it is apparent they believed . . . the “guillotine method” of involuntary severance, that is, no notice or hearing, only a severance vote to terminate a partner involuntarily need be taken, would be in the best interests of the partnership. Their intent was to provide a simple, practical, and above all, a speedy method of separating a partner from the firm, if that ever became necessary for any reason. We find no fault with that approach to severance.

Where the remaining partners in a firm deem it necessary to expel a partner under a no cause expulsion clause in a partnership agreement freely negotiated and entered into, the expelling partners act in “good faith” regardless of motivation if that act does not cause a wrongful withholding of money or property legally due the expelled partner at the time he is expelled.

New Roman","serif";} </style> <![endif]--> I certainly haven’t read through the entire thread, so I apologize in advance if these were already posted, but below are the bylaws from Article 13 of the NBA constitution, termination of ownership.

Practically every lawyer I have seen has suggested it would be an incredible stretch to suggest Sterling violated any of these bylaws. The previous article posted was even edited later where the author mentions he wrote the article without reviewing the bylaws in any way….

(a) Willfully violate any of the provisions of the Constitution and By-Laws, resolutions, or agreements of the Association.


(b) Transfer or attempt to transfer a Membership or an interest in a Member without complying with the provisions of Article 5.


(c) Fail to pay any dues or other indebtedness owing to the Association within thirty (30) days after Written Notice from the Commissioner of default in such payment.


(d) Fail or refuse to fulfill its contractual obligations to the Association, its Members, Players, or any other third party in such a way as to affect the Association or its Members adversely.


(e) Wager or countenance wagering by its officers or employees on any game in which a Team operated by a Member of the Association participates.

(f) Willfully permit open betting, pool selling, or any other form of gambling upon any premises owned, leased, or otherwise controlled by the Member or an Owner, except, subject to Article 8(a), for gambling activities that are lawful in the applicable jurisdiction and do not involve in any way, directly or indirectly, gambling with respect to any aspect of the Association’s games, events, property, players, or other personnel.


(g) Offer, agree, conspire, or attempt to lose or control the score of any game participated in by a Team operated by a Member of the Association, or fail to suspend immediately any officer or any Player or other employee of the Member who shall be found guilty, in a court of law or in any hearing sanctioned by this Constitution and By- Laws, of offering, agreeing, conspiring, or attempting to lose or control the score of any such game or of being interested in any pool or wager on any game in which a Team operated by a Member of the Association participates.


(h) Disband its Team during the Season, dissolve its business, or cease its operation.


(i) Willfully fail to present its Team at the time and place it is scheduled to play in an Exhibition, Regular Season, or Playoff Game.


(j) Willfully misrepresent any material fact contained in its application for Membership in the Association.

He didn't even read past line one. That is a pretty credible source with legal precedence on how judges view these sort of business agreements. I guess that's trolling.
